Welcome to GruasNearMe. These Terms of Service ("Terms") govern your access to and use of our website at www.gruasnearme.com and the directory services we provide (collectively, the "Service"). The Service is operated by Maverick Viral Marketing LLC ("GruasNearMe," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

GruasNearMe is an online directory platform that connects drivers with independent third-party towing companies and roadside assistance providers across the United States. We do not operate, dispatch, employ, or contract with any tow truck operators ourselves. We provide a directory listing service only.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Listings & Subscription Tiers

Towing companies may list their business on the Service through one of three tiers:

• Free Listing — basic directory entry including company name, city, and phone number. No cost. Limited features.
• Featured Listing — $100/month — premium placement, click-to-call, logo, photos, full service list, Google Maps integration, and a "Verified" trust badge.
• Exclusive Listing — $200/month — #1 placement on a city page, limited to one company per city. Includes all Featured benefits.

Paid subscriptions are billed monthly in advance and continue until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except as required by law.

We reserve the right to modify pricing, features, or tier availability at any time. Existing subscribers will be notified of any changes that affect their plan.

4. Listing Accuracy & Towing Company Responsibilities

Towing companies that submit listings are responsible for:

• Ensuring all information submitted is accurate, current, and not misleading.
• Maintaining all required licenses, insurance, and regulatory compliance to operate as a towing service.
• Providing professional service to any drivers who contact them through the Service.
• Promptly notifying us of any changes to their business information.

We reserve the right to remove, suspend, or modify any listing at our sole discretion, including listings that contain inaccurate information, generate complaints, or violate these Terms.

5. Directory Disclaimer & Limitation of Liability

To the fullest extent permitted by applicable law, you understand and agree that:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We make no representations or warranties regarding any towing company listed, including their licensing, insurance, qualifications, pricing, response time, or quality of service.
• Any transaction, agreement, payment, dispute, damage, injury, or loss arising from your interaction with a listed towing company is solely between you and that company. GruasNearMe is not a party to such transactions and bears no responsibility.
• We do not endorse any specific towing company. The "Verified" badge indicates only that we performed basic verification of business information at the time of listing — not that we guarantee their performance.
• To the fullest extent permitted by law, GruasNearMe and its owners, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Service or interactions with any third-party towing company.
• Our total cumulative liability for any claim related to the Service shall not exceed the greater of (a) the amount you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

6. Intellectual Property

All content on the Service — including the GruasNearMe name, logo, branding, design, text, graphics, and software — is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws.

By submitting a listing, you grant us a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute the business information you provide for the purpose of operating the directory.

7. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent listing information.
• Impersonate another business or person.
• Use the Service for any illegal purpose or in violation of any applicable law.
• Scrape, harvest, or copy listings or content for resale or redistribution.
• Attempt to disrupt, hack, or compromise the Service or its security.
• Submit content that is defamatory, harassing, obscene, or infringes the rights of others.

8. Third-Party Links

The Service may contain links to third-party websites, including towing company websites, Google Maps, and Google Business Profiles. We do not control these third-party sites and are not responsible for their content, privacy practices, or terms of use.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and intellectual property) will survive.

10. Indemnification

You agree to indemnify, defend, and hold harmless GruasNearMe, its owners, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your interaction with any third-party listed on the directory.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in [JURISDICTION], and you consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top indicates the most recent revision. Material changes will be communicated via the website or email when reasonably possible. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and GruasNearMe regarding the Service.
